1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "you") and Year-Ly ("Company," "we," "us," "our"). By accessing, using, or subscribing to Year-Ly's website, applications, and services (the "Service"), you agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, do not use the Service. Your continued use of the Service constitutes acceptance of any modifications to these Terms.

2. Service Description

Year-Ly is a web-based calendar planning application that allows users to:

  • Create and manage yearly calendars and events
  • Organize content with custom color-coded categories
  • Set and track annual goals and milestones
  • Customize calendar layout preferences
  • Store and retrieve planning data across devices

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation.

3. User Accounts

3.1 Account Creation

To use Year-Ly, you must create an account by providing a valid email address and password. You represent and warrant that:

  • You are at least 18 years old or have parental/guardian consent
  • You have legal capacity to enter into binding agreements
  • All information provided is accurate, complete, and current
  • You are not a prohibited party under export controls or sanctions

3.2 Account Responsibilities

You are responsible for:

  • Maintaining confidentiality of your password
  • All activities under your account
  • Immediately notifying us of unauthorized access
  • Complying with all applicable laws

We are not liable for any loss arising from unauthorized password use. You agree to log out after each session.

3.3 Account Termination

We may suspend or terminate accounts that violate these Terms, engage in illegal activity, or breach our policies. Users may request account deletion at any time through account settings.

4. Subscription and Payment Terms

4.1 Pricing and Billing

  • Free Trial: 27 days of full access to all Pro features
  • Pro Subscription: $27.09 USD per year
  • Billing Cycle: Annual subscription renews automatically each year
  • Taxes: All prices exclude applicable sales tax, VAT, or GST

4.2 Trial Terms

  • Free trial is limited to new users only
  • Trial access expires after 27 days
  • Payment method required to activate trial (will not be charged)
  • Automatic conversion to paid subscription upon trial expiration
  • Cancellation possible at any time during trial with no charges

4.3 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize Year-Ly to charge your payment method for the subscription amount. We store a Stripe customer ID for recurring billing but never store credit card information.

4.4 Automatic Renewal

Your subscription automatically renews annually on the anniversary of your subscription start date. You will receive a reminder email before each renewal. You can disable auto-renewal in your account settings at any time.

4.5 Refunds and Cancellation

  • Subscriptions can be cancelled at any time in account settings
  • No refunds for partial subscription periods
  • Refund requests must be submitted within 30 days of charge
  • Extraordinary refunds at Company discretion on case-by-case basis
  • Cancellation takes effect at end of current billing period

4.6 Price Changes

We reserve the right to change pricing with 30 days' notice. Changes apply to new subscriptions and renewals. Existing subscribers are notified by email before price increases take effect.

5. User Content and Ownership

5.1 User Content Ownership

You retain all ownership rights to content you create within Year-Ly (events, categories, goals, notes, etc.). By uploading content to Year-Ly, you grant us a non-exclusive, royalty-free, worldwide license to:

  • Store and maintain your content for Service provision
  • Back up and replicate your data for reliability
  • Use aggregated, anonymized data for analytics and improvement
  • Display your content within the Service

5.2 Data Access After Cancellation

Upon subscription cancellation or account deletion, access to your account is terminated. Your content is permanently deleted within 30 days (backups deleted within 90 days). You cannot recover deleted content, so export important data before cancellation.

5.3 Intellectual Property

Year-Ly and its entire contents, features, and functionality (including but not limited to design, text, code, layout) are owned by Year-Ly, its licensors, or other providers. You may not reproduce, distribute, modify, or transmit any content without our express written permission.

6. Prohibited Conduct

You agree NOT to:

  • Violate any laws, regulations, or third-party rights
  • Transmit malware, viruses, or malicious code
  • Attempt to gain unauthorized access to the Service
  • Scrape, spider, or automate data collection without permission
  • Reverse engineer, decompile, or attempt to derive source code
  • Use the Service for spam, harassment, or bullying
  • Engage in phishing, fraud, or deceptive practices
  • Violate intellectual property rights
  • Attempt to circumvent security measures or restrictions
  • Use the Service for competing services or commercial purposes
  • Overload or disable Service functionality through automated means

7. Limitation of Liability

7.1 Disclaimer of Warranties

YEAR-LY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 Limitation of Damages

IN NO EVENT SHALL YEAR-LY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption or opportunity costs
  • Any damage exceeding the amounts paid by you in the 12 months preceding the claim

This limitation applies even if Year-Ly has been advised of the possibility of such damages.

7.3 Exceptions

These limitations do not apply to: (a) personal injury or death, (b) fraud or gross negligence, (c) claims that cannot be limited by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Year-Ly and its officers, directors, employees, agents, and licensors from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of applicable laws
  • Your content or activities
  • Your use of the Service
  • Infringement claims related to your content

9. Service Availability and Support

9.1 Uptime

We strive to maintain 99% uptime (excluding planned maintenance). We do not guarantee uninterrupted Service. Maintenance windows may be scheduled with reasonable notice.

9.2 Service Support

We provide email support during business hours. Response times vary based on priority and volume. We do not guarantee specific response time but aim to respond within 24-48 business hours.

9.3 Data Backup

While we maintain backups, you are responsible for independently backing up important data. We recommend exporting your calendar data regularly.

10. Third-Party Integrations

Year-Ly may integrate with third-party services (Stripe for payments, Supabase for hosting). These services are subject to their own terms and privacy policies. We are not responsible for third-party content, services, or policies. Your use of third-party services is at your own risk.

11. Compliance and Legal Obligations

11.1 Export Controls

You agree not to use Year-Ly in violation of U.S. export laws or sanctions, or to provide services to prohibited parties or countries.

11.2 Law Enforcement

We may disclose your information if required by law, court order, subpoena, or government request. We will notify you when legally permissible.

11.3 DMCA Compliance

Year-Ly complies with the Digital Millennium Copyright Act (DMCA). If you believe content on our Service infringes your copyright, please contact copyright@year-ly.com with details, your contact information, and your copyright assertion.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States (specifically Delaware), without regard to its conflict of law provisions.

12.2 Arbitration Agreement

Any dispute arising from these Terms or use of the Service shall be resolved through binding arbitration in the United States, except:

  • Claims may be brought in small claims court if eligible
  • Injunctive relief may be sought in court to prevent infringement
  • Disputes relating to intellectual property or confidentiality may be litigated

12.3 Informal Resolution

Before pursuing arbitration, you agree to first attempt informal resolution by contacting us at support@year-ly.com within 30 days of the dispute.

13. Accessibility

Year-Ly is committed to accessibility. If you experience accessibility issues, please contact us at accessibility@year-ly.com. We will work with you to provide accommodations and accessibility information.

14. Changes to Terms

We may update these Terms at any time. Changes are effective when posted. Continued use after changes constitutes acceptance. Material changes will be notified by email or prominent notice. If you do not agree to changes, discontinue using the Service.

15. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary, and all other provisions remain in effect.

16. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Year-Ly regarding the Service and supersede all prior understandings and agreements.
